M&A Activity"

*
M. Scott Hursh, CPA, CCIFP of Stambaugh Ness who will present:

"2010 - How Are We Doing So Far, And How Do You

"What You Need to Know About the New AASHTO Audit Guide"

This exciting A / E Industry event is sponsored by BDO, ZweigWhite and Stambaugh Ness.

"Down But Not Out - An Overview of Current A / E
M&A Activity"

Despite a lackluster national economy and uneven design climate, interest in pursuing an acquisition, merger or sale from A / E business leaders and owners remains resilient. Conditions have convinced many small and mid-size design organizations to join forces with larger entities as a means of ownership transition and strategic growth. Buyers continue to be on the hunt, but are being more careful and prudent about the opportunities they are reviewing and multiples they are willing to pay.

But what lies ahead for the rest of 2010 and beyond? Steve will assess the current M&A environment, highlight recent regional transactions, analyze valuation trends, and discuss fundamental deal and integration challenges of bringing two different cultures and organizations into one.

Participants will learn:

*
How the recession is impacting buyers and sellers
*
The hot markets and sectors and where M&A activity
is in most demand
*
Valuation and deal structure considerations

*
What to expect for the remainder of the year and beyond

"2010 - How Are We Doing So Far, And How Do You Measure Up?"

Find out, from Scott, how to not only survive these turbulent times but to thrive and come out stronger when the economy does improve.

Scott will discuss:

*
How to stay on top of this year's trends including continued unemployment issues
*
How to cope with more stringent banking practices and housing market fluctuations
*
What health care mandates, green building practices and overall continued economic uncertainty might mean to your firm

"What You Need to Know About the New AASHTO Audit Guide"

This most recent revision of the "Uniform Audit and Accounting Guide," prepared by the Audit Committee of the American Association of State and Highway Transportation Officials (AASHTO), provides new compensation and audit guidelines for use by state DOTs. The guidelines apply to audits of transportation consultants' indirect cost rates.

Scott will:

*
Include side-by-side comparison between the old and new guides
*
Talk about the risks of non-compliance and
*
What to expect in future audits

The revised guide, effective January 1, 2010, is applicable to all costs and audits for years starting on or after this date. The guide will apply to all states, but because so many states have policies that dictate unique treatment of individual state costs, this will greatly reduce the individual overhead rate schedules now required. The guide clearly notes that any deviations from Federal Acquisition Regulations (FAR) or the guide itself - must be based on state law.

Attend this event and network with others in the A / E industry to find out how their organizations are coping with a multitude of challenges that can either threaten organizational growth or become a catalyst for reinvention.

Any A / E firm leader who is concerned about the state of the economy and wants to learn how to continue to weather the economic effects of new technologies, project delivery processes and the globalization of markets will want to take advantage of this event.
